1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Xtend-AI, LLC ("we," "us," or "our"), governing your access to and use of CLIQUE Pix, including the mobile application and all related services (collectively, the "Service"). By creating an account, accessing, or using CLIQUE Pix, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

If you do not agree to these Terms, you must not create an account or use the Service. Your continued use of CLIQUE Pix after any modifications to these Terms constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any changes.

2. Eligibility

You must be at least 13 years of age to create an account and use CLIQUE Pix. If you are under the age of majority in your jurisdiction (typically 18 years of age), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We do not knowingly collect personal information from individuals under the age of 13. If we learn that we have inadvertently collected information from a user under 13, we will promptly delete that information and terminate the associated account.

By using the Service, you represent and warrant that you meet the eligibility requirements stated above, that you have the legal capacity to enter into this agreement, and that you are not prohibited from using the Service under the laws of your jurisdiction.

3. Account Responsibilities

To use CLIQUE Pix, you must create an account by authenticating through a supported third-party identity provider, such as Microsoft, Google, or Apple. You agree to provide accurate, current, and complete information during the registration process and to keep your account information up to date.

You are solely responsible for maintaining the security and confidentiality of your account credentials and for all activities that occur under your account, whether or not authorized by you. You agree to notify us immediately at support@xtend-ai.com if you become aware of any unauthorized access to or use of your account.

We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials. You acknowledge that you may not share your account with others, create multiple accounts for the same person, or create an account on behalf of another person without their explicit consent.

4. Description of Service

CLIQUE Pix is a private, event-based photo and video sharing application designed for sharing media within trusted groups. The core functionality of the Service includes:

Events. Events are temporary media sharing sessions created within a Clique. When you create an Event, you select a duration: 3 days, 7 days, or 14 days. All photos, videos, and direct messages associated with the Event are automatically and permanently deleted from our cloud storage when the Event expires.

Cliques. Cliques are persistent groups that you create or join. Each Clique represents a group of people (such as friends, family, or teammates) with whom you wish to share photos and videos. You can invite others to join your Cliques using invite links, text messages, or QR codes.

Photo sharing. Within an active Event, Clique members can take photos using the in-app camera or upload photos from their device's gallery. Photos are compressed and stripped of metadata on the device before upload. Uploaded photos appear in the Event feed and are visible only to members of the associated Clique.

Video sharing. Clique members can record videos using the in-app camera or upload videos from their device's gallery. Videos are uploaded directly to cloud storage and processed by an automated transcoding pipeline for playback compatibility. Processed videos appear in the Event feed and are visible only to members of the associated Clique.

Direct messages. Within an Event, Clique members can send one-on-one text messages to each other. Direct messages are event-scoped and are automatically deleted when the Event expires.

Reactions and saving. Clique members can react to photos and videos using a set of lightweight reactions. Members can also save individual photos and videos to their personal device. Media saved to your device remains on your device and is not affected by the automatic cloud deletion that occurs when an Event expires.

Automatic deletion. When an Event's duration expires, all associated photos, videos, and direct messages are automatically and permanently deleted from our cloud storage. This is a core feature of the Service, not a bug. Media that you have saved to your device before expiration is not affected.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of significant changes that materially affect the Service.

5. User Content

You retain full ownership of the photos and other content you upload to CLIQUE Pix ("User Content"). We do not claim ownership of your User Content.

By uploading User Content to the Service, you grant Xtend-AI, LLC a limited, non-exclusive, royalty-free, worldwide license to store, process, display, and distribute your User Content solely for the purpose of operating the Service. Specifically, this license allows us to: store your photos and videos in our cloud storage infrastructure; generate thumbnails and poster images for display in Event feeds; transcode videos for playback compatibility across devices; display your photos and videos to members of the relevant Clique; deliver your direct messages to their intended recipients; and process your content as necessary for the technical operation of the Service (such as serving media via secure, short-lived URLs).

This license is limited in duration and terminates automatically when your User Content is deleted from our cloud storage, whether through automatic Event expiration, your manual deletion of a photo, or your request for account deletion. After deletion, we retain no rights to your User Content.

You represent and warrant that you own or have the necessary rights, licenses, and permissions to upload and share any User Content you submit through the Service, and that your User Content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.

6. Acceptable Use

You agree to use CLIQUE Pix in accordance with these Terms, all applicable laws and regulations, and commonly accepted standards of online conduct. Specifically, you agree that you will not:

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these acceptable use standards. Such action may include, without limitation, removing offending content, suspending or terminating the violator's account, and reporting the violator to law enforcement authorities.

7. Privacy

Your privacy is important to us. Your use of CLIQUE Pix is governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood our Privacy Policy and consent to the practices described therein.

8. Intellectual Property

CLIQUE Pix, including its name, logo, visual design, user interface, source code, object code, algorithms, documentation, and all other elements of the Service (collectively, "CLIQUE Pix IP"), is the exclusive property of Xtend-AI, LLC and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws of the United States and international jurisdictions.

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial purposes in accordance with these Terms. This license does not include the right to: copy, modify, adapt, or create derivative works based on any part of the Service; distribute, publicly display, or publicly perform any part of the Service; reverse engineer, decompile, or disassemble any part of the Service; or use the CLIQUE Pix name, logo, or branding for any purpose without our prior written consent.

All rights not expressly granted in these Terms are reserved by Xtend-AI, LLC.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, XTEND-AI, LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE; AND ANY WARRANTIES REGARDING THE ACCURACY, RELIABILITY, AVAILABILITY, TIMELINESS, SECURITY, OR PERFORMANCE OF THE SERVICE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT ANY DEFECTS IN THE SERVICE WILL BE CORRECTED, THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OR THAT THE SERVICE WILL BE COMPATIBLE WITH ANY PARTICULAR HARDWARE OR SOFTWARE CONFIGURATION.

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE, LOSS OF DATA, OR OTHER HARM THAT RESULTS FROM YOUR USE OF THE SERVICE.

THE AUTOMATIC DELETION OF PHOTOS, VIDEOS, AND DIRECT MESSAGES UPON EVENT EXPIRATION IS A DELIBERATE AND CORE FEATURE OF THE SERVICE. WE ARE NOT RESPONSIBLE FOR THE LOSS OF CONTENT THAT YOU DID NOT SAVE TO YOUR DEVICE BEFORE THE ASSOCIATED EVENT EXPIRED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL XTEND-AI, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, INCLUDING BUT NOT LIMITED TO: LOSS OF REVENUE, INCOME, PROFITS, OR BUSINESS; LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES; DAMAGE TO REPUTATION; COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; OR ANY OTHER DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO US FOR ACCESS TO THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION, EVEN IF ANY REMEDY SPECIFIED IN THESE TERMS IS DEEMED TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

11. Indemnification

You agree to indemnify, defend, and hold harmless Xtend-AI, LLC, and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with: your access to or use of the Service; your User Content; your violation of these Terms; your violation of any applicable law, regulation, or third-party right; or any dispute between you and any third party related to the Service.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such event, you agree to cooperate with our defense of such claim. You agree not to settle any matter without our prior written consent.

12. Termination

We reserve the right to suspend or terminate your account and access to the Service, in whole or in part, at any time and for any reason, including but not limited to: violation of these Terms; conduct that we determine, in our sole discretion, is harmful to other users, to us, or to third parties; or if we believe that your use of the Service poses a security risk.

You may terminate your account at any time by deleting your account through the app or by contacting us at support@xtend-ai.com. Upon termination of your account, whether initiated by you or by us: your license to use the Service will immediately terminate; your account data, profile information, and Clique memberships will be deleted; and any photos, videos, and direct messages associated with your account that have not yet expired will be deleted from our cloud storage.

The following sections of these Terms shall survive termination: User Content (to the extent any content remains in the system during the deletion process), Disclaimers, Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their nature should survive termination.

13. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of North Carolina, United States of America, without regard to its conflict of law principles. You agree that any legal action or proceeding relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in North Carolina, and you hereby consent to the personal jurisdiction and venue of such courts.

Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights or other proprietary rights.

14. Changes to Terms

We reserve the right to modify, amend, or update these Terms at any time, at our sole discretion. When we make changes, we will update the "Effective Date" at the top of this page and post the revised Terms on this website. For material changes that significantly affect your rights or obligations, we may also provide notice through the CLIQUE Pix app or via email to the address associated with your account.

Your continued use of the Service after the posting of revised Terms constitutes your acceptance of and agreement to the updated Terms. If you do not agree to the revised Terms, you must stop using the Service and delete your account. We encourage you to review these Terms periodically to stay informed about the terms that govern your use of CLIQUE Pix.

15. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Xtend-AI, LLC regarding your use of the Service and supersede all prior and contemporaneous agreements, proposals, and representations, whether written or oral, regarding the subject matter herein.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms shall remain in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the provision.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if made in writing and signed by an authorized representative of Xtend-AI, LLC.

Assignment. You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms and our rights hereunder without restriction. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

16. Subscriptions

CLIQUE Pix requires a subscription after a 7-day free trial. The subscription is offered as a monthly plan at $3.99 per month, or an annual plan at $39.99 per year. New annual subscribers receive a 7-day free trial; the monthly plan is billed immediately.
